Scope
These Terms and Conditions (the "Terms") govern access to and use of adamkey.comand any related subdomains (collectively, the "Site"), as well as the submission of enquiries via the contact form.
The Site is informational, presents Adam Key's professional services (software development, AI, mobile, web, blockchain, IoT, project management, digital marketing, cloud infrastructure, cyber security) and collects enquiries. The Site does not constitute an offer to the public, nor a place where contracts are concluded online.
Any professional services provided by Adam Key to clients are governed by separate agreements (engagement letters, master service agreements, statements of work, service orders), which prevail in case of conflict with these Terms.
Acceptance and capacity
By accessing the Site, even just by browsing, the user declares to have read and fully accepted these Terms, the Privacy Policy and the Cookie Policy. If you do not accept any clause, please do not use the Site.
To submit enquiries via the contact form you must be at least 18 years old, or — if a minor — act with the consent of a parent or legal guardian.
User obligations and prohibitions
Users undertake to:
- use the Site lawfully, in accordance with applicable law, public morals and these Terms;
- not interfere with the proper operation of the Site or attempt to compromise its security (including, by way of example: DoS / DDoS attacks, port scanning, mass automated scraping, intrusion attempts, reverse engineering, decompilation of client-side code in order to extract confidential content);
- not use the contact form for abusive, deceptive, fraudulent, spam, phishing, harassment or unlawful purposes;
- provide truthful and up-to-date information in submitted forms;
- not reproduce, distribute, modify, sell or commercially exploit the content of the Site without prior written authorisation from Adam Key, save as permitted under section 5.
Breach of the above may result in blocking access to the Site, removal of unlawfully submitted content, the exercise of legal actions to protect Adam Key's rights and — where applicable — reporting to the competent authorities.
Intellectual property
All content published on the Site — including without limitation texts, images, illustrations, photographs, graphics, the "Adam Key" logo, word and figurative marks, HTML/CSS/JS source code, animations, UI design, navigation structure, databases — is protected by Italian, European and international law on copyright, trade marks and other intellectual property rights and is owned exclusively by Adam Key or its licensors.
Reproduction, distribution, modification, publication, communication to the public or any commercial exploitation of the content without Adam Key's express written authorisation is prohibited. Personal browsing of the Site, printing of individual pages for strictly personal use and quotation of short extracts — with explicit attribution of the source (adamkey.com) and a link to the original page where available — are permitted.
Brand logos shown in the "Results" and "Trust" sections are used for purely informational purposes (historical reference to brands that have used Adam Key's services) and remain the exclusive property of their respective owners.
Open-source components used in the development of the Site are licensed under their respective terms (MIT, Apache 2.0, BSD, etc.), which do not apply to Adam Key's original content.
Availability of the Site and changes
Adam Key strives to keep the Site available, secure and up-to-date but does not warrantuninterrupted operation, absence of malfunctions, or perfect accuracy of all content at all times.
Adam Key reserves the right, at any time and without notice, to modify, suspend or discontinue, in whole or in part, the Site or individual features for technical, organisational or commercial reasons, without any liability toward the user.
Limitation of liability
To the extent permitted by applicable law, Adam Key shall not be liable for:
- indirect, consequential damages, loss of profit, loss of business opportunity or loss of data arising from the use or impossibility of use of the Site;
- any errors, omissions, inaccuracies or out-of-date content, without prejudice to the commitment to correct them promptly upon notification;
- malfunctions, viruses or harmful components arising from the user's connection to the Site or from the download of materials from it (save for wilful misconduct or gross negligence by Adam Key);
- content, products, services or practices of third-party sites accessible via links on the Site (see section 8).
Nothing in these Terms excludes or limits Adam Key's liability for wilful misconduct or gross negligence, personal injury, or any other liability that cannot be excluded or limited under applicable law (including, where relevant, mandatory consumer-protection rules under the UK Consumer Rights Act 2015 or EU consumer law).
Third-party links
The Site may contain links to third-party websites (for example: public documents on Google Drive relating to professional indemnity insurance, social networks, providers, official regulatory references). Such links are provided for the user's convenience and do not imply any control, endorsement or sharing of the relevant content by Adam Key, which disclaims any liability with respect to their operation, content, privacy practices and terms of use, to which we refer.
Changes to the Terms
Adam Key reserves the right to amend these Terms at any time, effective from the date the new version is published on the Site. The current version is always available at this URL, with the last-updated date shown above. Continued use of the Site after publication of the changes constitutes acceptance of the changes.
Material changes — those significantly affecting the rights and obligations of the user — will be prominently signposted on the Site for at least 30 days.
Governing law and jurisdiction
Given that the Controller is a company incorporated under the laws of England and Wales (ADAM KEY LTD), these Terms are governed by and construed in accordance with the laws of England and Wales, with express exclusion of conflict-of-law rules. This clause does not affect the application of the mandatory rules of the user's country of residence, where more favourable.
Any dispute arising from these Terms or connected to the use of the Site will be subject to the exclusive jurisdiction of the Courts of England and Wales, sitting in London.
The above is without prejudice to the mandatory consumer-protection rules of the user's country of residence, including: (i) Article 66-bis of the Italian Consumer Code (Legislative Decree 206/2005), granting Italian consumers the right to bring proceedings at the court of their place of residence; and (ii) the Consumer Rights Act 2015 and the relevant provisions of the Civil Jurisdiction and Judgments Act 1982 for UK consumers.
Online dispute resolution
Pursuant to Article 14 of EU Regulation 524/2013, the European Commission provides an Online Dispute Resolution (ODR) platform, available at ec.europa.eu/consumers/odr/. Consumers may use this platform for the out-of-court resolution of disputes.
Miscellaneous
If any clause of these Terms is held by a competent authority to be invalid, unlawful or unenforceable, the remaining clauses will continue in full force and effect. Adam Key's failure or delay to enforce any right under these Terms does not constitute a waiver of that right.
